Card Network Architecture License Agreement

1. Grant of License

Subject to your compliance with the terms and conditions of this Agreement, Card Network grants you a limited, non-exclusive, non-transferable, revocable license to use the Card Network Architecture software, documentation, and related services (the "Licensed Software") for your internal business operations.

2. Permitted Use

You may use the Licensed Software to:

  • Integrate Card Network Architecture into your applications and services
  • Access and use the API according to your subscription tier limits
  • Create derivative works for internal use (subject to additional restrictions)
  • Display Card Network branding in accordance with our trademark guidelines

3. Usage Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the Licensed Software
  • Remove or alter any proprietary notices, trademarks, or copyright notices
  • Sell, resell, sublicense, or distribute the Licensed Software to third parties
  • Use the Licensed Software to compete with Card Network
  • Use the Licensed Software for illegal or unauthorized purposes
  • Exceed the usage limits specified in your subscription tier

4. Subscription Tiers

The Licensed Software is offered in the following tiers:

Starter Tier ($29/month)

  • Up to 10 developers
  • 10,000 API requests per month
  • Community support
  • Internal business use only

Enterprise Tier ($99/month)

  • Unlimited developers
  • Unlimited API requests
  • Priority email support
  • 99.9% uptime SLA
  • Custom integrations available

Custom Tier (Contact Sales)

  • Custom pricing based on requirements
  • Dedicated support
  • On-premise or private deployment options
  • Custom SLA terms
  • Professional services available

5. Attribution Requirements

When using the Licensed Software in publicly accessible applications, you must include the following attribution: "Powered by Card Network Architecture" with a link to https://cardnetwork.dev. This attribution must be visibly displayed in your application's user interface or documentation.

6. Intellectual Property Rights

Card Network retains all right, title, and interest in and to the Licensed Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Card Network.

7. Support and Updates

Depending on your subscription tier, you may be entitled to receive support services and updates to the Licensed Software. Support response times and availability vary by tier as specified in our documentation.

8. Term and Termination

This Agreement is effective from the date you first use the Licensed Software and continues until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Licensed Software and destroy all copies in your possession.

9. Warranty Disclaimer

THE LICENSED SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARD NETWORK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Card Network from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from or relating to your use of the Licensed Software or violation of this Agreement.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the jurisdiction in which Card Network is established. Any disputes arising under this Agreement shall be resolved through binding arbitration, except where prohibited by law.

13. General Provisions

This Agreement constitutes the entire agreement between you and Card Network regarding the Licensed Software. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect. Card Network may assign this Agreement without restriction.

14. Open Source Components

The Licensed Software may contain or be distributed with open source software components. Such components are licensed under their respective open source licenses and are not subject to the restrictions in this Agreement.
